Welcome to Goldship. These Terms & Conditions (“Terms”) govern your access to and use of the Goldship website, mobile applications, and related services (collectively, the “Platform”). By accessing or using Goldship, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Platform.

1. About Goldship

Goldship is a multi-vendor e-commerce marketplace that enables customers to purchase products from independent sellers, provides delivery and logistics services, and offers businesses advertising opportunities through packaging and sponsored delivery campaigns.

2. Eligibility

To use Goldship, you must:

• Be at least 18 years old, or use the Platform under the supervision of a parent or legal guardian.

• Provide accurate and complete registration information.

• Comply with all applicable laws and regulations.

By using the Platform, you represent that you meet these requirements.

3. Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your login credentials.

• Restricting access to your account.

• Ensuring that all information provided is accurate and current.

• Promptly notifying Goldship of any unauthorized account activity.

Goldship reserves the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Orders and Acceptance

All orders placed through Goldship are subject to acceptance and product availability.

Goldship may cancel or refuse any order if:

• Payment cannot be verified.

• Pricing or product information is inaccurate.

• The product is unavailable.

• Fraudulent or suspicious activity is detected.

A confirmation email or SMS does not constitute final acceptance until the order has been processed.

5. Pricing and Payments

Prices are listed in Kenya Shillings (KES) unless otherwise stated.

Customers agree to pay:

• Product prices,

• Delivery fees,

• Applicable taxes, and

• Any additional charges disclosed during checkout.

Accepted payment methods may include M-Pesa, debit and credit cards, and other supported payment gateways.

6. Delivery and Fulfillment

Delivery times are estimates and may vary due to location, product availability, weather, traffic, or operational factors.

Risk of loss and title to products pass to the customer upon delivery, except where otherwise required by law.

Customers are responsible for providing accurate delivery details.

7. Returns and Refunds

Returns and refunds are governed by Goldship’s Return Policy. By using the Platform, you agree to the terms of that policy.

8. Vendor Responsibilities

Vendors using Goldship agree to:

• Provide accurate product descriptions, pricing, and images.

• Maintain sufficient inventory.

• Fulfill orders promptly.

• Comply with applicable laws, including consumer protection and tax obligations.

• Refrain from listing prohibited or counterfeit products.

Goldship reserves the right to remove listings or suspend vendors who violate these obligations.

9. Advertising and Sponsored Packaging

Businesses participating in advertising campaigns through Goldship are responsible for ensuring that all promotional materials:

• Are lawful, accurate, and not misleading.

• Do not infringe on third-party rights.

• Comply with applicable advertising regulations.

Goldship reserves the right to reject or discontinue any campaign at its discretion.

10. Prohibited Activities

Users may not:

• Use the Platform for unlawful purposes.

• Attempt to interfere with the Platform’s operation or security.

• Submit false information.

• Infringe intellectual property rights.

• Upload malicious code.

• Engage in fraud, abuse, or deceptive conduct.

11. Intellectual Property

All content on Goldship, including text, graphics, logos, software, and design elements, is the property of Goldship or its licensors and is protected by applicable intellectual property laws.

Users may not reproduce, distribute, or exploit Platform content without prior written consent.

12. Third-Party Products and Services

Products sold on Goldship may be supplied by third-party vendors. While Goldship facilitates transactions, vendors are responsible for the quality, legality, and accuracy of their listings.

13. Limitation of Liability

To the maximum extent permitted by law, Goldship shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform.

Goldship’s total liability for any claim shall not exceed the amount paid by the customer for the specific order giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Goldship, its affiliates, officers, employees, and partners harmless from any claims, damages, or expenses arising from your use of the Platform or your breach of these Terms.

15. Privacy

Your use of Goldship is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

16. Suspension and Termination

Goldship may suspend or terminate access to the Platform at any time if we believe a user has violated these Terms or engaged in harmful conduct.

17. Changes to the Terms

Goldship may update these Terms from time to time. Revised Terms become effective upon publication on the Platform. Continued use of Goldship constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the Kenyan courts.

19. Force Majeure

Goldship shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, internet outages, or governmental actions.
